We provide advisory services on company law issues and the tax consequences of mergers and demergers of companies, both nationally and across national borders. In close cooperation with the company’s auditor we ensure that the complete process is handled from beginning to end. This ensures cohesure and that nothing falls between two stools. At the same time our international network ensures that we can deliver lasting cross-border solutions.
Our advisory services on restructuring include i.a.:
- Choice and adjustment of corporate structure, including the optimum structure considering company and tax legislation, where we identify risk factors and optimum options for both the company and the owner.
- Discussions with and applications to the tax authorities in cases where restructuring requires authorisation.
- Preparation of necessary company law documents, including merger and demerger documents
- Registration of documentation and declarations to the authorities in cooperation with the company’s auditor
